Website Design Terms of Business

This document sets out to explain the contractual commitments by both Web Design Concept (WDC) and its Customer when designing and maintaining a website.

WDC will not undertake design’s that are of adult nature or associated with arms or drug selling.

WDC will, based on information provided by the customer, produce a provisional quotation. This quotation will work up an annual fee, which will include the following:

  • Purchase of domain name e.g. www.yourdomain.com
  • Hosting of your website on a secure Windows server based in London, UK.
  • Design of the website.
  • Optimisaion of website to assist in high search engine plcement.
  • On-going maintenance of website e.g. changing text, images etc.
  • Submission of website to 1000+ search engines and directories.

Assuming this quotation is accepted and an intial payment equivalent to on third of annual quotation is recieved, WDC will start the web design, purchase the domain name and hosting space.

WDC apart from the initial charge of one third on quoted annual cost,WDC will not charge anything until the website design is completed and accepted by the Customer.

The annual fees are used as a method of payment to reduce the annual costs, however, there is a commitment by the customer to stay with WDC for a minimum of three years.

It is generally expected that the customer will provide the following information to aid the design process:

  • Branding - What colours, fonts and logo should be used.
  • Which pages are required.
  • For each page the text and images required. On images if taken with digital camera then the setting of 640x480 pixels is best for websites.
  • If a Ecommerce website the method of charging delivery.
  • A maxium of 10 keywords / key phrases that customer considers potential clients will enter into search engines to find their website.
  • Any specialised internet directories that customer would like to be listed on, provided listing is free of charge. ;

If the website required is a CMS (Content Management System) type, then the work involved is significantly more, in this case a large part of the development cost needs to be recovered before the design is completed. This will be negotiated on an individual basis but will likely be in excess of 175,000 Naira.

The developing design will be uploaded to newly purchased domain. This will be made known to the customer, who can view and make suggestions for change at an early stage. By this method it is found that with customer involvement throughout the design process leads to a faster final solution.

Apart from the outward facing design, an important element is the optimisation of the site for search engines and in particular Google (70% of all searches). The customer is asked to provide a maximum of 10 keywords / key phrases, which forms the basis for the optimisation.

When the design is finally accepted, WDC will provide a final invoice, prompt payment is expected. The invoice will cover the annual fee for the website for the 1st and subsequent years. When payment of final invoice is recieved WDC will finish the optimisation of the website and submit to 1000+ search engines.

An important part of getting good Google Ranking is having links from other websites, so it is expected that all WDC customers have a non-chargable page that links them to all other WDN websites and visa-versa.

WDC will continue to maintain the site and the annual fee includes the following:

• Changes to text and photographs
• Annual web space charge.
• Annual renewal of domain name.
• Bi-monthly submit of the web site to major search engines.
• On-going search engine optimisation.

When the changes in design means new pages, more photographs etc. then these will be assessed by WDC and if necessary charged and a revised invoice submitted.

It is understood that the code created and maintained by WDC will be in the custody of WDN but is owned by the customer. The domain name is purchased with the customer as the legal registrant but paid for by WDC whilst maintained by WDC.

In the unlikely event that the customer wishes cease having the website maintained and hosted by WDC, then customer must accept that they will pay the balance to complete the minimum agreement of three years. On payment of the outstanding balance WDC will make the code available for the customer.

In the event of the customer’s business ceasing to operate, then the code will remain in the custody of WDC.
